This End User License Agreement (“Agreement”, “EULA”) is entered into between you (“Customer”, “User”) and Self-employed Trush Andrii, VAT: BE1016452805 (“Licensor”), governing the use of Licensor’s Magento extensions (“Software”). By purchasing, downloading, installing, or using the Software, you agree to be bound by this Agreement.

1. Definitions

“Software” means any Magento extension developed and distributed by Licensor, including documentation, updates, and code provided through the Magento Marketplace.

“License” means the rights granted to you under this Agreement.

“Magento Installation” means a single production Magento environment (one store instance), regardless of the number of domains or storefronts it serves.

“Marketplace” means the Adobe Commerce / Magento Marketplace through which the Software is sold and delivered.

“Order of Precedence”: If there is any conflict between this EULA and applicable Marketplace terms, policies, or rules, the Marketplace terms, policies, or rules shall prevail.

2. Acceptance of Agreement

By purchasing the Software through the Marketplace, downloading it, or installing it, you confirm that you have read, understood, and agreed to be legally bound by this EULA. If you do not agree, do not install or use the Software.

3. Grant of License

3.1 License Type

The Licensor grants you a non-exclusive, non-transferable, revocable, worldwide, limited license to download, install, customize, and use the Software solely for your internal business purposes and subject to this Agreement.

3.2 One License — One Installation

Each purchased License may be used on one Magento Installation only. Additional production installations require the purchase of additional licenses.

Migration / Infrastructure Changes: Moving the same licensed production Magento Installation to a new server, host, IP, or domain (including disaster recovery, replacements, or re-platforming of the same instance) does not require an additional license, provided it remains the same production Installation and is not used in parallel as an additional production instance.

3.3 Development and Staging Environments

You may use the Software on development, test, and staging environments associated with the licensed production Installation at no additional cost, provided they are not publicly accessible storefronts and are not used as separate production instances.

3.4 Ownership

Licensor retains all intellectual property rights in the Software. No ownership rights are transferred to the Customer.

4. License Restrictions

You may not:

  • redistribute, resell, sublicense, lease, or provide the Software to third parties;
  • use the Software to build competing products;
  • publish or make the source code publicly available;
  • remove or alter copyright notices or attribution;
  • share one license across multiple unrelated client projects or Magento installations;
  • reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
  • circumvent or disable any licensing, access control, or security features of the Software or Marketplace delivery.

Customization of the Software is allowed solely for your internal business needs.

5. Delivery

The Software is delivered exclusively through the Marketplace. You will receive access to downloads and updates via your Marketplace account in accordance with Marketplace policies.

6. Support and Updates

6.1 Support

Support is provided in accordance with Marketplace policies and the Licensor’s commercially reasonable efforts. Support typically covers:

  • installation and basic configuration guidance;
  • compatibility guidance with supported Magento versions as stated by the Software listing;
  • reproducible defect investigation related to the Software.

Support does not include:

  • custom development, feature implementation, or bespoke modifications;
  • theme or frontend customization beyond documented configuration;
  • performance tuning for third-party environments;
  • guarantees regarding conflicts caused by third-party modules, custom code, or infrastructure.

6.2 Updates

Updates are provided through the Marketplace. Access to updates may require an active subscription or renewal, according to Marketplace rules and the Software listing.

7. Refunds

All refunds are governed exclusively by Marketplace refund policies. Licensor does not process refunds directly. If the Marketplace approves a refund, access to the Software may be revoked and all copies must be deleted, subject to applicable law and Marketplace rules.

8. License Termination

8.1 By Customer

You may terminate this Agreement by deleting all copies of the Software.

8.2 By Licensor

Licensor may terminate the License if you materially violate any terms of this EULA. In such case, you must immediately stop using the Software and remove all copies.

8.3 Continued Use Prohibited

After termination, continued use may constitute infringement and may result in enforcement actions as permitted by applicable law.

9. Disclaimer of Warranties & Limitation of Liability

To the maximum extent permitted by Belgian law:

  • The Software is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, or statutory, including (without limitation) warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Licensor does not warrant that the Software will be error-free, uninterrupted, or compatible with all third-party modules, themes, hosting environments, or customizations.
  • You are responsible for testing, backups, and safe deployment practices (including using staging environments) before installing or updating the Software in production.
  • Licensor is not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, goodwill, or profits.
  • Total liability of Licensor shall not exceed the amount paid for the License for the affected Software.

10. Data Protection

The Customer is responsible for compliance with applicable data protection laws (including GDPR) when using the Software. Unless explicitly stated in the Software documentation, the Licensor does not receive, process, or store Customer personal data by default. If support requires temporary access to a system, the Customer is responsible for providing access in a secure manner and limiting any shared data to what is necessary for troubleshooting.

11. Confidentiality

Any non-public code or documentation provided to the Customer must be treated as confidential and may not be disclosed to third parties except as required for installation or development under an NDA or as required by law.

12. Feedback

If you provide suggestions, ideas, or feedback regarding the Software, you grant the Licensor a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use and incorporate such feedback without obligation to you.

13. Compliance

You agree to comply with applicable laws and regulations related to use of the Software, including any applicable export control and sanctions laws.

14. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of Belgium. Any disputes will be handled by the competent courts of Belgium.

15. Changes to Agreement

Licensor may update this EULA periodically. Continued use of the Software after updates constitutes acceptance of the revised version.
